These Terms and Conditions govern your use of the Saltmark website and any consulting services provided by Saltmark. By accessing our website or engaging our services, you agree to these terms. Please read them carefully before proceeding.
1. Definitions
- "Saltmark" or "we" or "us": Saltmark, a consulting firm operating from 26A, Jalan Molek 1/30, Taman Molek, 81100 Johor Bahru, Johor, Malaysia.
- "Services": The people operations consulting engagements offered by Saltmark, including the Owner-Manager Strategy Conversation, Departing Co-Founder Conversation Support, and Long-Service Conversation Series.
- "Client" or "you": Any individual or business that engages Saltmark for consulting services or visits this website.
- "Engagement": A specific, scoped consulting service with an agreed fee and deliverable.
- "Agreement": These Terms and Conditions, together with any engagement brief or confidentiality agreement signed between Saltmark and the Client.
2. Acceptance of Terms
By using this website or engaging Saltmark's services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging on behalf of a company, you confirm you have authority to do so on that company's behalf.
3. Description of Services
Saltmark provides people operations consulting for owner-managed businesses in Malaysia. Services focus on the conversational and operational dimensions of managing people — including strategy conversations, transition support, and long-service recognition preparation. Saltmark does not provide legal advice, employment law counsel, financial advice, or any other service requiring a professional licence to perform.
Services are available to clients based in Malaysia. Requests from outside Malaysia are considered on a case-by-case basis.
4. Engagement Scope and Delivery
- Each engagement is defined by a written brief agreed between Saltmark and the Client before work begins.
- The scope of the engagement is fixed at the time of agreement and does not expand without a separate written agreement and fee.
- Saltmark will deliver the agreed written output within the timeframe specified in the engagement brief.
- All engagements include a confidentiality agreement signed prior to the first session.
- Saltmark reserves the right to decline any engagement at the initial call stage without obligation.
5. Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). Payment terms are specified in the engagement brief. In the absence of other terms:
- A deposit of 50% is payable upon confirmation of the engagement.
- The remaining balance is payable upon delivery of the written output.
- Payments may be made by bank transfer to the account details provided in the invoice.
Refund policy: If Saltmark is unable to fulfil an engagement due to circumstances on our side, a full refund of any amounts paid will be provided. If a Client cancels an engagement after the first session has occurred, the deposit is non-refundable. Cancellations before the first session, with at least five business days' notice, will receive a full refund of any deposit paid.
6. Client Responsibilities
- Provide accurate and complete information relevant to the engagement.
- Make personnel and time available as agreed in the engagement brief.
- Not use the services for any unlawful purpose or in contravention of applicable law.
- Not share written outputs from Saltmark with third parties in a manner that would breach the confidentiality agreement.
7. Intellectual Property
All content on this website — including text, structure, and design — is owned by or licensed to Saltmark and protected by applicable intellectual property laws. You may not reproduce, distribute, or adapt any content from this website without prior written consent from Saltmark.
Written deliverables produced for a Client during an engagement (notes, summaries, prompt sheets) are for that Client's internal use only. They may not be resold, republished, or used to develop competing consulting materials.
8. Disclaimers
Saltmark's services are provided as consulting and information support. We do not provide legal, financial, medical, or any other regulated professional advice. The outcomes of any conversation or people operations decision made by a Client following an engagement with Saltmark are the Client's responsibility.
The website is provided on an "as available" basis. We do not warrant that the website will be uninterrupted or error-free.
9. Limitation of Liability
To the extent permitted by Malaysian law, Saltmark's total liability to any Client in connection with an engagement shall not exceed the fee paid for that engagement. We are not liable for any indirect, consequential, or incidental loss arising from or related to the services provided.
10. Indemnification
You agree to indemnify and hold harmless Saltmark and its personnel from any claims, losses, or expenses (including legal fees) arising from your misuse of the services or breach of these Terms.
11. Termination
Either party may terminate an engagement by providing written notice. The consequences of termination, including any outstanding fees or deliverables, will be handled in accordance with the payment terms above and the engagement brief. Sections 7, 8, 9, 10, and 13 of these Terms survive termination.
12. Confidentiality
Each engagement is subject to a separate confidentiality agreement. The terms of that agreement take precedence over any confidentiality-related provisions in these Terms. Saltmark will not disclose information shared by a Client during an engagement to any third party except as required by law.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or from a Saltmark engagement shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, the dispute may be referred to mediation or, if necessary, to the courts of Johor Bahru, Malaysia, which shall have exclusive jurisdiction.
14. General Provisions
- Entire Agreement: These Terms, together with any signed engagement brief and confidentiality agreement, constitute the entire agreement between the parties.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without Saltmark's prior written consent.
- Notices: Notices under these Terms should be sent to [email protected].
15. Changes to These Terms
We may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. Continued use of this website or our services following any update constitutes your acceptance of the revised Terms.
